1. Introduction

These Terms of Service (“Terms”) govern your use of the services provided by Joshua Ferguson (“we”, “our”, “us”), including any services accessed through our website or through direct engagement. By using our services, you agree to these Terms.

Joshua Ferguson is a member firm regulated by the Institute of Chartered Accountants in England and Wales (ICAEW). As such, we are bound by the ICAEW’s Code of Ethics, Practice Assurance Regulations, and UK professional standards.

If you do not agree to these Terms, you should not use our services.

2. Scope of Services

We provide accountancy, bookkeeping, management reporting, year-end compliance, and financial advisory services to limited companies and SMEs. Specific services to be provided will be set out in a separate engagement letter agreed between us and you (“the Client”).

3. Engagement and Responsibilities

We will carry out our services with reasonable skill, care, and diligence, in accordance with applicable laws and professional standards.

You agree to:

  • Provide accurate, complete, and timely information required for us to deliver services

  • Respond promptly to requests for clarification or documentation

  • Comply with your legal and tax obligations

4. Fees and Payment

Fees will be agreed in writing before the commencement of work, typically in the form of a fixed monthly retainer or a project-based quote.

Unless otherwise stated:

  • Invoices are payable within 14 days of issue

  • Late payments may incur interest at 3% above the Bank of England base rate

  • We reserve the right to suspend services in the event of non-payment

5. Confidentiality

We respect the confidentiality of your information and will not disclose it to third parties without your consent, except where required by law or regulatory bodies.

6. Limitation of Liability

To the extent permitted by law, our liability for any loss or damage arising from our services is limited to the total fees paid by you in the 12 months preceding the claim.

We are not liable for:

  • Loss of profit, goodwill, or indirect/consequential losses

  • Errors or omissions in information you provide

  • Actions taken by you or third parties based on our advice without further consultation

7. Intellectual Property

All materials, reports, templates, or documentation created by us remain our intellectual property unless otherwise agreed. You are granted a non-exclusive licence to use such materials for your internal business use only.

8. Termination

Either party may terminate the engagement with 30 days’ written notice. We reserve the right to terminate services immediately in the event of non-payment, breach of these Terms, or unethical conduct.

Upon termination, all fees due up to the date of termination remain payable.

9. Third-Party Services

If we recommend or help implement third-party software (e.g., Xero, QuickBooks, Dext), you are subject to the terms and privacy policies of those services. We accept no liability for the performance or availability of third-party tools.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on our website. Continued use of our services after changes have been made constitutes your acceptance of those changes.

13. Regulatory Disclosures

Joshua Ferguson is a member firm of the Institute of Chartered Accountants in England and Wales (ICAEW), and is subject to its professional and ethical standards. The principal, Joshua Ferguson ACA, is a Chartered Accountant and an ICAEW member in good standing.
